DEFINITIONS AND APPLICATION

  1. In these Terms and Conditions, the following terms shall have the following meanings:

“Account” means collectively the personal information, Payment Information and credentials used to access Paid Content and / or any communications System on the Web Site

“Carrier” means any third party responsible for transporting purchased Goods to the Customer

“Company” is Uniproof Tiling Limited trading as Uniproof Shop

“Conditions” means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed between the Customer and the Company

“Consent” means agreement with these terms and conditions and the Company policies

“Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site

“Customer” means any person, employee or agent of any person who is purchasing the goods

"Customised" means a product has been cut or made to the Customer's preference

“Goods” means any products that Uniproof Shop advertises and / or makes available for sale through this Web Site

“Owner” means the owner of the Goods to which any business concluded under these conditions relates and any other person who is or may become interested in them

“Person” includes persons or any Body or Bodies Corporate

“Payment Information” means any details required for the purchase of Goods from this Web Site. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes

“Purchase Information” means collectively any orders, invoices, dispatch notes, receipts or similar that may be in hard copy or electronic form

“Purchaser” means any person or business that buys Goods from Uniproof Shop from this Web Site

“Service” means collectively any online facilities, tools, services or information that Uniproof Shop makes available through the Web Site either now or in the future

“System” means any online communications infrastructure that Uniproof Shop makes available through the Web Site either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links

“Uniproof Shop” means Uniproof Tiling Limited trading as Uniproof Shop

“User” in this document means a person who uses or operates on www.uniproof-shop.myshopify.com

“We” means Uniproof Shop in this document

“Web Site” means the website that you are currently using (www.uniproof-shop.myshopify.com) and any sub-domains of this site (e.g. www.uniproof-shop.myshopify.com/collections/waterproof-membranes) unless expressly excluded by their own terms and conditions.

  1. All orders, in whatever terms, and any activities of the Company in the course of business are undertaken subject to these conditions which no person in the employment of or acting in any way as agent of the Company, or purporting to do so, has power to vary. Previous dealings between the Company and any Customer shall not vary or replace these terms or be deemed in any circumstances to do so. Acceptance of the Goods by the customer shall be conclusive evidence before any court of law or arbitrator that these terms apply.
  2. If any legislation is compulsorily applicable to any business undertaken, these conditions shall as regard such business, be read as subject to such legislation. If any part of these conditions be repugnant to such legislation to any extent such part shall as regards such business be overridden to that extent and no further.
  3. In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

 

LIABILITIES OF THE CUSTOMER (and directors of a body corporate)

  1. The Customer shall pay to the Company all sums agreed immediately when due without reduction or deferment on account of any claim. Only when the payment is received by Uniproof Shop will the order be dispatched.
  2. No credit accounts shall be accepted by the Company.
  3. The Customer acknowledges that before entering into any agreement for the purchase of any Goods from the Company he has expressly represented that he is not insolvent or bankrupt or being a body corporate knows of no circumstances which would entitle any debenture holder or otherwise secured creditor to appoint a receiver to petition for the winding up of the company purchasing the Goods or apply for the appointment of an administrator or exercise any other rights over or against the purchasing company’s assets.
  4. In the event that the customer, being a body corporate, for whatsoever reason, is unable to discharge its liabilities to the Company the directors of the purchasing company agree to accept personal (joint and several) responsibility for the unpaid amounts.

 

RESPONSIBILITIES SPECIFICALLY ACCEPTED BY THE CUSTOMER

  1. Ultimate responsibility for ordering the correct quantities, sizes or dimensions of Goods required for any specific job rests with the Customer. The Company, its employees or agents do not accept any responsibility whatsoever for incorrect measurements or any consequences arising from purchase of incorrect quantities, sizes or types of Goods.
  2. Risk shall not pass at the same time as property in the Goods but shall pass at the time of collection or delivery and the Customer accordingly accepts that it is their responsibility to arrange for appropriate insurance cover and security.
  3. It is the responsibility of the Customer to ensure that they have examined and are satisfied in all respects with the Goods before installation and fixing commences as the Company will not accept any claim for materials once they are fixed.
  4. The Customer is fully responsible for the correct installation of the materials as the Company will not accept any claim for materials once they are fixed.
  5. It is the responsibility of the Customer and or his/her agents to satisfy themselves that any products selected are suitable for the intended area of use and that any relevant health and safety issues are considered. It is important to note that in relation to flooring products in general, the risk of slipping is inherent and it is the responsibility of the Customer and or his/her agents to factor in any relevant risks in relation to the specific use and service conditions of their property or areas for which they have responsibility. Uniproof Shop cannot be held responsible for the incorrect or inappropriate selection of products.

 

DELIVERY

  1. Delivery services are provided by our courier partners which operate from Monday to Friday during the hours of 9am to 5pm and are available to all customers within the Republic of Ireland. Our courier partners will make every effort to deliver Goods within the estimated timescales. However, delays are occasionally inevitable due to unforeseen factors or events outside of their control and we shall be under no liability for any delay or failure to deliver the products within estimated timescales. Therefore, we strongly recommend that you do not arrange for a tradesperson to install the Goods until you have received your delivery. Risk of loss and damage of Goods passes to you on the date when the Goods are received by you.
  2. Uniproof Shop will notify you by way of email when your Goods are to be dispatched to you. The message will contain details of estimated delivery times in addition to any reasons for a delay in the delivery of the Goods purchased by you.
  3. If Uniproof Shop receives no communication from you, within 14 days of delivery, regarding any problems with the Goods, you are deemed to have received the Goods in full working order and with no problems.

 

CONTRACTORS

  1. Uniproof Shop does not provide a tiling or plumbing service.
  2. Whilst the Company may put customers in contact with tiling contractors, plumbing contractors or wood flooring specialists or organise them on their behalf, it is not or cannot be held responsible under any circumstances for work carried out by them, as these tiling contractors, plumbing contractors or wood flooring specialists are not employed by, and do not act as agents for the Company.

 

SPECIAL ORDERS

  1. Special orders i.e. orders for non-stock Goods, agreed with our Sales team will be accepted only against a full non-refundable payment, by placing a Special Order via our website. Once a Special Goods order has been placed no cancellation of your Order shall be permitted and no refund shall be made by us in respect of such Goods. This does not apply to faulty or incorrectly supplied Goods where your statutory rights are unaffected.

 

MATERIAL CHARACTERISTICS

  1. Whilst every effort has been made to ensure that all graphical representations and descriptions of Goods available from Uniproof Shop correspond to the actual Goods, Uniproof Shop is not responsible for any variations from these descriptions.
  2. The calculated amount required of the material has to take into account the appropriate jointing.
  3. Product manufacturers reserve the right to change materials, components, design or dimensions of any Goods without prior notification.
  4. It is the responsibility of the Customer and his or her agents to ensure that care and maintenance of bathroom and flooring products is carried out in accordance with the manufacturer’s prescribed guidelines. It’s also important that regular maintenance procedures are consistent with any relevant risk assessments which reflect the specific on-site conditions.

 

ORDERS AND PRICING

  1. Orders are accepted and estimated availability dates given on the understanding that the Company has available unsold stock or will be able to secure the required Goods from its suppliers on time. Whilst the Company will use its best endeavours to meet such dates, it can accept no responsibility for any losses that might be suffered by the Customer as a consequence of any delays.
  2. Catalogues, price lists and other advertising material are only indications of the type of Goods offered and are subject to variation from time to time by the Company and shall not constitute an offer or be binding on the Company.
  3. Shower Drains and Shower Trays are sold per pack only.
  4. Prices displayed or given on quotations are displayed or given by the Company in good faith. Whilst the Company will use its best endeavours to maintain the prices as displayed or quoted, such prices are subject to alteration without notice and shall unless otherwise agreed in writing between the parties be adjusted to the price ruling at the date of despatch.
  5. Where appropriate, you may be required to select the required [size] [model] [colour] [quantity] [other features] of the Goods that you are purchasing.
  6. All pricing information on the Web Site is correct at the time of going online. Uniproof Shop reserves the right to change prices and alter or remove any special offers from time to time and as necessary.
  7. Uniproof Shop does not represent or warrant that such Goods will be available. Stock indications are provided on the Web Site however these may not have taken into consideration any daily sales activity.
  8. We will contact you if an incorrect price was displayed on Uniproof Shop’s Website for any items in your online order, offering you the option of proceeding with your purchase of the items at the correct price or cancelling the order.

 

CANCELLATION & RETURNS

Returns Policy

Uniproof Shop aims to always provide high quality Goods that are fault free and undamaged. On occasion however, goods may need to be returned. Returns are governed by these Terms and Conditions.

This returns policy only applies when you make a purchase online from our website.

  1. You have the right to cancel your order and return the Goods, any time before and up to fourteen days from the day after the Goods are received by you provided that the Goods are in perfect condition and the packaging remains unopened and in a sellable condition. It is your responsibility to ensure that the returned Goods reach us in perfect resaleable condition and therefore all Goods should be in their original packaging and the packaging must not have been opened or marked. Please note that you will be responsible for arranging to return the Goods and will also be responsible for the cost of returning the Goods to us. A full refund of the value of the Goods will be made upon our receipt of the returned Goods once they have been inspected in our warehouse.
  2. If the Goods returned are not fit for resale as a result of the Goods having been opened or damaged in transit, the Goods will not be refunded and you will be required to collect the Goods from our warehouse within 7 days of having been notified of this fact. Alternatively, if the Goods have not been collected within the 7-day timeframe, the Goods will be disposed of.
  3. If you change your mind about the Goods when you receive them, you have 14 days after the delivery of the Goods to return the Goods with prior Return’s documentation. However please note that cancellation of bespoke, customised or special-order Goods will not be accepted once your order has been processed online and no returns or exchange will be available for special order Goods. In addition to this, Goods sold as part of a Sale, promotion, clearance or as ex-display will not be accepted for return or exchange after the 14 day ‘cooling off period’ has ceased.
  4. In the event that the Company agrees to accept returns from a customer after the 14-day timeframe with prior written notice from the Customer at shop@uniproof.ie, and this will be at the discretion of the Company, a handling charge of 15% will apply. Delivery charges will not be refunded.
  5. Uniproof Shop reserves the right to cancel orders without stating reasons, for any reason prior to processing payment and dispatch. If orders are cancelled for any reason prior to dispatch the Customer will be refunded any monies paid in relation to those orders.

 

FAULTY GOODS

  1. Where a fault is found in the Goods supplied the liability of the Company will be limited to the value of the Goods supplied.
  2. The Company will not accept any liability for consequential loss arising from the supply or installation of faulty Goods.
  3. Any claim for faulty Goods must be submitted on a timely basis (no longer than 3 months) with the Goods in question. No claim will be processed unless the complained of Goods are returned at the same time and the appropriate returns documentation completed.
  4. Refunds will be issued upon our receipt of the returned Goods.
  5. Uniproof Shop is not responsible for paying shipment costs. Goods must be returned in their original condition with all packaging and documentation. Upon receipt of the returned Goods, the price of the Goods, as paid, will be refunded through the payment method used when the Goods were purchased.
  6. If Goods are damaged in transit and the damage is apparent on delivery, the Customer should sign the delivery note to the effect that the goods have been damaged. In any event, such damage should be reported to Uniproof Shop within 2 days and arrange return. Uniproof Shop is not responsible for paying shipment costs. Upon receipt of the returned Goods, the price of the Goods, as paid, will be refunded through the payment method used when the Goods were purchased.

 

ACCOUNTS

In order to purchase Goods on this Web Site and to use the facilities, Users can create an Account which will contain certain personal details and Payment Information which may vary based upon a User’s use of the Web Site as we do not require payment information until a purchase is to be made.

By continuing to use this Web Site you represent that:

  1. All information you submit is accurate and truthful
  2. If you are buying on behalf of your employers, you have the authority to submit Payment Information where any such authority is required
  3. You will keep this information accurate and up-to-date
  4. Your creation of an Account is further affirmation of your representation

It is recommended that you do not share your Account details, particularly your username and password. Uniproof Shop accepts no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.

If you have reason to believe that your Account details have been obtained by another without consent, you should contact Uniproof Shop immediately to suspend your Account and cancel any unauthorised purchases that may be pending. Please be aware that purchases can only be cancelled until they are dispatched. In the event that an unauthorised purchase is dispatched prior to your notifying us of the unauthorised nature of the purchase, Uniproof Shop accepts no liability or responsibility and you should make contact with the Carrier detailed in the Purchase Information.

When choosing a username Users are required to adhere to the terms set out above. Any failure to do so could result in the suspension and/or deletion of your Account.

 

ACCOUNT TERMINATION AND CANCELLATION

Either Uniproof Shop or a User may terminate an Account.

If Uniproof Shop terminates your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons. If Uniproof Shop terminates an Account, any current or pending purchases on your Account will be cancelled and will not be dispatched.

If a User terminates their Account any non-dispatched purchases will be cancelled and a full refund of any monies paid in relation to those purchases will be paid through the payment method used when the Goods were purchased.

 

COMMUNICATION

When using the Order Note at checkout any other System on the Web Site you should do so in accordance with the following rules:

  1. Obscene or vulgar language must not be used
  2. Content that is unlawful or otherwise objectionable must not be submitted. This includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist
  3. Content that is intended to promote or incite violence must not be submitted
  4. It is advised that submissions are made using the English language as we may be unable to respond to enquiries submitted in any other languages
  5. The means by which Users identify themselves must not violate these terms of use or any applicable laws
  6. Users must not impersonate other people, particularly employees and representatives of Uniproof Shop or our affiliates
  7. Our System must not be used for unauthorised mass-communication such as “spam” or “junk mail”
  8. You acknowledge that Uniproof Shop reserves the right to monitor any and all communications made to us or using our System

 

FORCE MAJEURE

Uniproof Shop cannot be held responsible for any delays caused by Force Majeure (any circumstance beyond the reasonable control of the Seller or the Buyer) including but without limitation any Act of God, storm, flood, strike, lockout or industrial action, technical, system or network failure.

 

DISCLAIMERS

  1. Uniproof Shop makes no warranty or representation that the Web Site will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our Services.
  2. No part of this Web Site is intended to constitute advice and the Content of this Web Site should not be relied upon when making any decisions or taking any action of any kind.
